Terms of Service

1. Acceptance of Terms
By accessing or using the RecoverAI platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, you may not access or use the Service.
2. Description of Service
RecoverAI provides an AI-powered debt collection platform designed for the Philippine market. The Service includes AI voice agents, SMS automation, compliance monitoring, analytics, and related tools for managing debt collection operations. The Service is provided as Software-as-a-Service (SaaS) and is accessible via web browser.
3. Account Registration
- You must register with a valid business email address to create an account
- You are responsible for maintaining the confidentiality of your login credentials
- You must promptly notify us of any unauthorized access to your account
- You may not share your account credentials or allow others to access your account
- We reserve the right to suspend accounts that violate these Terms
4. Subscription and Billing
4.1 Plans and Pricing
The Service is offered on a subscription basis with pricing in Philippine Pesos (PHP). Current plans include Pilot, Starter, Professional, and Enterprise tiers with varying account limits, features, and support levels. Pricing is published on our website and may be updated with 30 days' prior notice.
4.2 Payment
Payments are processed through Stripe. You authorize us to charge your designated payment method for all applicable subscription fees. Failed payments may result in service suspension after reasonable notice and retry attempts.
4.3 Plan Changes
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated charges. Downgrades take effect at the end of the current billing period. No refunds are issued for downgrades within a billing period.
4.4 Cancellation
You may cancel your subscription at any time. Access continues until the end of the current billing period. Minimum commitment periods may apply to certain plans as specified at the time of purchase.
5. Acceptable Use
You agree to:
- Use the Service only for lawful debt collection activities in compliance with applicable Philippine laws
- Comply with SEC MC 18-2019, BSP Circular 1160-2022, RA 10173 (DPA), and RA 11765
- Upload only debtor data for which you have a legitimate legal basis to collect
- Respect debtor opt-out requests and contact hour restrictions enforced by the platform
- Not attempt to circumvent platform compliance guardrails or contact frequency limits
- Not use the Service to harass, threaten, or deceive debtors
- Not reverse-engineer, decompile, or attempt to extract the source code of the Service
- Not use the Service for any purpose other than debt collection operations
6. Data Ownership and Responsibilities
6.1 Your Data
You retain ownership of all data you upload to the platform, including debtor records, client information, and payment data. You are the Personal Information Controller (PIC) under RA 10173 for all debtor data you process through the Service.
6.2 Our Role
We act as a Personal Information Processor (PIP) under RA 10173, processing debtor data solely on your behalf and in accordance with your instructions. We implement appropriate technical and organizational measures to protect the data we process.
6.3 Data Isolation
All organization data is isolated using application-level and database-level tenant separation. Your data is never accessible to other organizations on the platform.
7. Compliance
The Service includes built-in compliance features including contact hour enforcement, frequency limits, opt-out tracking, and audit trails. While we provide compliance tools, you remain ultimately responsible for ensuring your collection activities comply with all applicable laws and regulations. The platform's compliance engine enforces minimum standards but does not constitute legal advice.
8. AI Voice Agents
Our AI voice agents are subject to real-time monitoring, topic boundaries, and automatic termination safeguards. All AI-generated calls are recorded and transcribed for compliance purposes. You acknowledge that AI agents may occasionally produce unexpected outputs despite our guardrails, and you agree to review flagged interactions as part of your compliance obligations.
9. Service Level
We strive to maintain high availability of the Service. Professional plans include a 99.5% uptime SLA, and Enterprise plans include a 99.9% uptime SLA. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors beyond our reasonable control, including third-party service outages.
10. Intellectual Property
The Service, including its software, AI models, algorithms, user interface, documentation, and branding, is owned by RecoverAI and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during the subscription term. No ownership rights are transferred to you.
11. Limitation of Liability
To the maximum extent permitted by law, RecoverAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim. This limitation applies regardless of the legal theory upon which the claim is based.
12. Indemnification
You agree to indemnify and hold RecoverAI harmless from any claims, damages, losses, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of applicable laws or regulations; or (d) any debtor data you upload or process through the Service.
13. Termination
We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or as required by law. Upon termination, you may request export of your data within 30 days. After 30 days, your data will be deleted in accordance with our data retention policy and applicable regulatory requirements.
14. Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be resolved through binding arbitration in Metro Manila, Philippines, in accordance with the Alternative Dispute Resolution Act of 2004 (RA 9285).
15. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
